General business conditions

 

 

Application

These general terms and conditions apply to all types of deliveries of products, hardware/software, service or consulting services from On720.com A/S (hereinafter "On720") to the customer.

These general terms and conditions apply, unless they are specifically deviated from in the offer or order confirmation from On720.

These general terms and conditions always take precedence over any standard terms sent by the customer.

For agreements on strategic and business advice, including consulting services and services linked to Microsoft Business Central, the conditions in Appendix A also apply.

For agreements on the development, purchase and use of APPs, including for Microsoft Business Central, the conditions in Appendix B also apply.

In the case of agreements on Hosting, including backup of hosted solutions, the conditions in Appendix C also apply.

 

Offer and agreement

An agreement is only concluded when the customer has received a verbal confirmation from On720.

Cancellation of an order can only be done with written acceptance from On720, as well as fulfillment of any conditions for the cancellation.

 

Prices

Prices appear in On720's price lists or are stated in the order confirmation sent to the customer.

All prices are excl. VAT, unless otherwise stated.

Extra work and products that are not covered by an order confirmation sent by On720 are invoiced at On720's current list prices.

Extra work caused by the customer's circumstances, including delays, will be invoiced at current list prices.

On720 can adjust the agreed prices for recurring services and hourly rates annually and with 6 months' notice. The adjustment takes place according to the net price index, however min. 2.5%.

 

Delivery

Delivery of the agreed products and/or services takes place at the time/period stated in the order confirmation.

The risk of accidental damage to products and/or services passes to the customer upon delivery.

On720 assumes no responsibility for losses, including operational losses, losses due to downtime or indirect losses, which are caused by the customer's circumstances.

If there are justified doubts about the customer's ability to pay, On720 can demand that the customer provide a bank guarantee for payment for an order placed before delivery takes place. If delivery is made successively, On720 can demand that the customer provide a bank guarantee for the purchase price before the remaining services and products are delivered.

The customer is obliged at all times to provide the necessary cooperation for the execution of On720's tasks, in accordance with the agreement entered into.

On720 does not prepare documentation for services performed, unless this is specifically stated in the agreement in question. Deliveries of hardware/standard software include product descriptions and user instructions (in Danish or English), to the extent that such have been prepared and delivered by the manufacturer.

 

Payment terms

Invoices are sent when products or services are delivered.

The payment terms are 7 days net, unless other payment terms are specified in the order confirmation or contract.

In case of late payment, interest is calculated on the overdue balance incl. VAT at 2.00% per started month.

 

Reservation of title

On720 reserves - with the limitations resulting from inalienable legal rules - the ownership of the sold item until the agreed purchase price plus accrued costs has been paid.

 

Missing

The customer is obliged immediately upon delivery to carry out an examination/test of the delivered in order to ascertain any defects, including any deviations from the ordered quantity. Complaints must be made to On720 without undue delay, if deficiencies are found in the delivered. If a complaint is not made in time, the customer loses his right to make objections to defects.

 

Limitation of liability

On720's liability, including product liability, can never exceed the amount covered by the liability insurance taken out by On720.

If a claim against On720 is not covered by an insurance taken out by On720, the amount of the claim can never exceed the fee that the customer has paid for the service/product in question.

Delays due to the customer's circumstances can never lead to liability for damages for On720.

On 720 assumes no responsibility for operational losses, indirect losses or losses resulting from downtime of systems and hardware, regardless of the reason for this.

On720 is not responsible for losses caused by force majeure similar conditions, including - but not limited to - war, lockout, strikes, blockades, epidemics, pandemics, intervention by the authorities, terrorist threats or terrorist acts, national emergencies, extraordinary weather phenomena, transport disruptions, machinery breakdown, material and manufacturing defects, including delays in raw materials and parts necessary for the manufacture or delivery of the thing sold.

A compensation claim against On720 can never exceed the coverage of the advisor and product liability insurance taken out by On720 with IF Forsikring. Insurance policy can be requested from On720.

 

Personal data

Storage of personal data at On720 takes place in accordance with the regulations applicable at all times on the protection of personal data and On720's personal data policy.

 

Choice of law and venue

Disputes between On720 and the customer are sought to be resolved by negotiation directly between the parties.

If the dispute cannot be resolved by negotiation, each of the parties is entitled to bring the matter before the ordinary courts.

The case is handled according to Danish law and with the Court in Randers as the place of jurisdiction.
